Biography

Joining Sandberg Phoenix in 1998, Shareholder Keith D. Price is a member of both the Business and Business Litigation practice groups, where he provides a range of services to companies ranging in size from small start-ups to nationwide corporations and from many diverse industries including real estate, non-profit and health care. Keith provides general counsel to businesses, assisting with corporate formation and governance and contracts, including the preparation of supply, distribution, licensing, leasing and confidentiality agreements. Additionally, Keith has considerable experience in corporate transactions, regularly negotiating and drafting asset and commercial real estate purchase agreements. He frequently represents lenders in commercial loan documentation and closings and matters of loan enforcement, workouts, receivership, bankruptcy and creditors’ rights. Keith is also trusted to handle mergers and acquisitions for healthcare industry clients and counsel community associations regarding governance, litigation and conflict resolution.

A major focus of Keith’s legal practice is real estate law, including acquisitions and dispositions, development, leasing and financing with emphasis in representing health care clients. He also addresses real estate related issues arising in day-to-day operations within the health care industry.

As a litigator, Keith has represented lending clients in hundreds of cases in Missouri and Illinois, including replevin and loan recovery actions, fraud claims, Regulation B claims, electronic fund transfer claims, mechanic’s lien actions, appointment of receivers and injunctive relief. He has both prosecuted and defended a wide range of business disputes such as employment contracts, supply agreements, creditor’s rights, leases and breach of fiduciary duty.

Keith goes beyond answering the legal questions asked of him to learn the root causes behind current issues facing his clients. By digging deeper and identifying areas for improvement, he provides solutions that address present needs while also preventing future potential issues from arising.

In his free time, Keith enjoys running in Forest Park, walking his two American Eskimo dogs near his home in south St. Louis City and gardening with his husband Paul. They are both active members of the Missouri Botanical Gardens and participate in many of the organization’s annual programs.

Background

Keith earned his bachelor’s in Accounting from the University of Illinois before attending Baylor University, where he earned his Juris Doctor in 1988 and was an Editor of the Baylor Law Review.

Keith is regularly asked to speak and write on a variety of topics, including governance issues of community associations, litigation issues faced by community associations, bankruptcy procedure and strategies, the impact of bankruptcy on the family law practitioner and the dischargeability of taxes through bankruptcy.

He is a member of the Missouri Bar Association, the Illinois State Bar Association, the Bar Association of Metropolitan St. Louis, the American Health Lawyers Association, the Defense Research Institute and the National Lesbian and Gay Law Association.

For his outstanding work in Real Estate Law, Keith was selected by his peers as a Best Lawyer for inclusion in Best Lawyers in America in 2016 and 2017.

Since 2010, Keith has been heavily involved with and served as a member of the Board of Directors of Doorways, a non-profit organization providing housing and housing related services to people living with AIDS or HIV. The organization is one of the largest of its kind in the nation, serving more than 2,300 individuals throughout the St. Louis area in 2013. As part of his work for the organization, Keith chairs the Mission and Program Committee.

He is also active with the Missouri Humane Society and supports American Eskimo Rescue St. Louis and Stray Rescue of St. Louis, frequently attending trivia nights to benefit these and other organizations. Previously, Keith served on the Board of Art St. Louis and the Board of St. Louis Effort for AIDS. He also served on the Board of Discovering Options, a non-profit after-school program for at-risk children in the St. Louis City, providing at-risk children with support through a developed program and mentors to prevent drug abuse.

Keith is licensed to practice in the states of Missouri and Illinois and before the U.S. District and Bankruptcy Courts for the Eastern and Western Districts of Missouri and Central and Southern Districts of Illinois. He is also admitted to practice before the 4th and 8th Circuit U.S. Courts of Appeals.
