Warren Davis is a shareholder of the firm and a member of the firm’s Business and Business Litigation Practice Groups. He was elected by his fellow shareholders as the firm’s first Managing Partner. Prior to joining Sandberg Phoenix, Warren served as a founding shareholder of Davis, Davis, Kasnetz & Greenberg.
Warren concentrates his corporate merger and acquisition practice in the representation of successful privately held business entities primarily with revenues in excess of $25 million. He assists his clients in acquiring, divesting and equity financing activity with a recent merger transaction having a $1 billion value. Warren provides his clients with more than 30 years expertise in tax and business succession counseling. Warren has been selected by his peers as a Best Lawyer for merger and acquisition representation in the Best Lawyers of America publication. He has been previously recognized as a Missouri Super Lawyer in the same specialty.
He is often asked to and does serve as outside general counsel for his clients.
Warren also represents several community banks in a wide array of legal and business matters.
In addition to his corporate practice, Warren continues an active business litigation practice. Having tried more than 50 cases to verdict, Warren is an experienced courtroom attorney who focuses his litigation practice on shareholder disputes involving privately held businesses.
Warren serves on the boards of various St. Louis banks, social and charitable organizations.
Warren is admitted to practice law in the state of Missouri and maintains an active membership in the American Bar Association, the Missouri Bar Association and the Bar Association of Metropolitan St. Louis. He also serves as a member of two task force corporate committees of the American Bar Association and has served as a lecturer for the American Bar Association on several standing continuing legal education seminars.
Warren earned his Juris Doctor, with honors, from Boston University and his undergraduate degree in History and English, with honors, at Washington University

He has assisted his clients in acquiring, divesting and merger activity with a recent merger transaction having a $1 billion value. To support his representation of privately held companies and their executive officers, Warren provides his clients with 30 years of expertise in tax and business succession counseling.
In addition to his service as outside general counsel to his clients, Warren continues an active business litigation practice. Having tried more than 50 cases to verdict, Warren is an experienced courtroom attorney who continues to focus his litigation practice on the trial of disputes involving closely held corporations. In particular, Warren has developed an expertise in the litigation of disputes between closely held corporations and their shareholders. In addition to his work with closely held corporations, he has litigated construction and engineering disputes for the past 15 years.
